1. Agreement to Terms

By accessing this website, submitting project scoping inquiries, or engaging Dayara Infotech ("Company", "We", "Us") for digital engineering, UI/UX design, or cloud solutions, you agree to comply with and be bound by these Terms and Conditions.

If you disagree with any segment of these rules, please discontinue website use and do not sign project statements of work.

2. Scoping & Project Milestones

For individual custom builds, the deliverables, pricing milestones, timeline windows, and specifications will be formalised in a separate Statement of Work (SOW).

We execute tasks iteratively, with client approvals requested at key stages (UI layouts, API structure, integration, deployment). Delays in feedback may adjust target launch deadlines.

3. Payments & Fees

Clients agree to clear invoice charges according to the payment schedules defined in the SOW.

If payments are delayed beyond stipulated grace windows, Dayara Infotech reserves the right to halt work branches and pause active cloud deployment clusters.

4. Intellectual Property & Transfer

Upon complete clearance of invoice balances for a milestone or full build, all intellectual property (IP), source code branches, database structures, and assets created for that milestone transfer to the client.

Dayara Infotech retains rights only to pre-existing libraries, general code helpers, and design blocks built prior to or outside the scope of the agreement.

5. Limitations of Liability

Dayara Infotech is not liable for indirect, incidental, or consequential damages arising from code crashes, server downtime, database loss, or API deprecation beyond the total amount paid by the client under the active SOW.

6. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any legal actions will be resolved under the jurisdiction of courts in Surat, Gujarat, India.
